Acceptance of These Conditions

By accessing or using a Prism Triangle website, portal, form, verification tool, or other online service, you agree to these Conditions of Use. If you do not agree, do not use the applicable service.

Additional written agreements, laboratory service terms, quotations, chain-of-custody requirements, portal rules, or program-specific terms may also apply. If those terms conflict with these Conditions, the more specific written terms control for that service.

Permitted Use

Prism Triangle online services are provided for legitimate business, laboratory, compliance, informational, and customer-service purposes. You may use them only in accordance with applicable law and these Conditions.

• Provide accurate, current, and complete information.
• Use accounts and reports only if you are authorized to do so.
• Protect login credentials and promptly report suspected unauthorized access.
• Do not interfere with security, availability, or operation of any service.
• Do not upload malicious code, impersonate another person, scrape restricted data, or attempt unauthorized access.

Accounts and Portals

You are responsible for activity performed through credentials assigned to you or your organization. Prism Triangle may suspend or restrict access when reasonably necessary to protect customers, data, systems, or legal and regulatory obligations.

Access to customer, employee, sampler, operations, onboarding, and verification systems may be subject to separate authorization and role-based restrictions.

Laboratory Information and Reports

Website content is general information and is not a substitute for an issued laboratory report, certificate of analysis, written interpretation from qualified personnel, or professional legal, regulatory, medical, or scientific advice.

Laboratory results apply to the submitted sample and the conditions, methods, limitations, and qualifications stated in the applicable report. Results must not be altered, separated from required context, or represented as applying to products or lots not tested.

Intellectual Property

Prism Triangle names, logos, designs, text, software, graphics, reports, and other materials are owned by or licensed to Prism Triangle and are protected by applicable intellectual-property laws. Except as expressly authorized, you may not copy, modify, distribute, sell, reverse engineer, or create derivative works from them.

Third-Party Services and Links

Prism Triangle services may link to or integrate with third-party platforms, including customer account, communications, payment, scheduling, and laboratory systems. Those services are governed by their own terms and privacy practices. Prism Triangle is not responsible for third-party content or availability.

Availability and Changes

We may maintain, modify, suspend, or discontinue online functionality at any time. We do not guarantee uninterrupted or error-free access. We may update these Conditions by publishing a revised version and effective date on this page.

Disclaimer

To the fullest extent permitted by law, online services and general website content are provided on an “as is” and “as available” basis. Prism Triangle disclaims implied warranties of merchantability, fitness for a particular purpose, noninfringement, and any warranties arising from course of dealing or usage of trade, except where a separate written agreement expressly provides otherwise.

Limitation of Liability

To the fullest extent permitted by law, Prism Triangle will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of or inability to use an online service. Nothing in these Conditions excludes liability that cannot lawfully be excluded or limited.

Indemnification

You agree to defend, indemnify, and hold harmless Prism Triangle, LLC and its personnel from claims, losses, and expenses arising from your unlawful use of an online service, violation of these Conditions, infringement of third-party rights, or unauthorized handling or representation of laboratory information.

Governing Law

These Conditions are governed by the laws of the State of Michigan, without regard to conflict-of-law principles. Any dispute not governed by a separate written agreement will be brought in a court of competent jurisdiction located in Michigan.
